1. About this Terms & Conditions

These Terms & Conditions (“Terms”) apply to your use of the SolField Energy website and, where incorporated into a quotation, proposal, order or contract, to the supply of products and services by Austra Green Energy Pty Ltd T/A SolField Energy (“SolField Energy”, “we”, “us” or “our”). By using our website, requesting a quotation or purchasing products or services from us, you agree to be bound by these Terms to the extent applicable. Where a specific written contract, quotation or agreement applies to your purchase or installation, that document will set out the specific terms applicable to your project. Nothing in these Terms is intended to exclude, restrict or modify any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law (ACL) or other applicable legislation.

2. Our Products and Services

SolField Energy provides energy-related products and services which may include:

  • solar photovoltaic systems;

  • solar panels;

  • inverters;

  • battery storage systems;

  • EV charging equipment;

  • energy management solutions;

  • system design;

  • installation services;

  • electrical works;

  • grid connection assistance;

  • system commissioning;

  • monitoring assistance;

  • warranty support; and

  • related services.

The products and services available may change from time to time.

3. Website Information

We endeavour to ensure that information published on our website is accurate and current. However, website information may include general information, images, product descriptions, specifications, estimated savings and other material provided for informational purposes. Product specifications, availability, pricing and performance may change due to manufacturer updates, supplier availability, regulatory requirements or other circumstances. Where you receive a quotation or proposal from us, the quotation or proposal will contain the specific information applicable to your proposed system.

4. Quotations

Quotations are prepared based on the information available to us at the time the quotation is prepared. Unless otherwise stated in writing, a quotation may be subject to:

  • site inspection;

  • confirmation of site conditions;

  • product availability;

  • manufacturer specifications;

  • electricity network requirements;

  • relevant approvals;

  • engineering requirements;

  • structural requirements;

  • electrical requirements; and

  • other conditions identified during the project.

A quotation will identify the products, services, price and other material terms applicable to the proposed project. Any applicable assumptions, exclusions, additional costs or site conditions will be identified in the quotation or contract where reasonably foreseeable. A quotation does not constitute acceptance of an order unless expressly stated otherwise.

5. Acceptance of a Quotation

A contract for the supply of products and/or services will generally arise when:

  1. you accept our quotation or proposal in the manner specified;

  2. both parties enter into a written contract; or

  3. we otherwise confirm acceptance of your order in writing.

The applicable quotation, proposal, contract and any incorporated documents will form part of the agreement between you and SolField Energy.

6. Pricing

Unless otherwise stated, prices quoted by SolField Energy are in Australian dollars and include GST where applicable. A quotation will identify the total amount payable and any applicable deposit, progress payment or balance payment requirements. Government incentives, rebates, certificates or other financial benefits will only be included where specifically identified in the quotation. Any estimate of rebates, incentives, savings or financial returns is subject to eligibility, applicable rules and the assumptions stated in the relevant quotation or proposal.

7. Changes to System Design

Solar and battery systems are site-specific. Following a site inspection, engineering assessment, network assessment or other review, changes may sometimes be required. Where a proposed change materially affects the system design, price, performance or scope of work, we will communicate the change to you. We will not knowingly proceed with a material variation to the agreed system design or price without obtaining appropriate customer approval, except where otherwise permitted by the applicable contract or required for safety or compliance. Any agreed variation should be documented in writing.

8. Site Conditions and Additional Work

The quotation will identify reasonably foreseeable site conditions and circumstances that may result in additional work or charges where applicable. Additional work may arise from circumstances that could not reasonably be identified before site inspection or commencement of work.
Examples may include:

  • concealed electrical faults;

  • unsafe or non-compliant existing electrical equipment;

  • structural issues;

  • asbestos or hazardous materials;

  • switchboard upgrades;

  • unexpected cabling requirements;

  • roof repairs;

  • access difficulties;

  • additional engineering requirements;

  • network or meter requirements; or

  • other conditions outside the agreed scope.

Where additional chargeable work is proposed, we will communicate the reason and cost to you and seek appropriate approval before proceeding, except where immediate action is reasonably required for safety or legal compliance.

9. Customer Responsibilities

You agree to provide information that is reasonably necessary for us to perform the agreed services.
You are responsible for:

  • providing accurate information;

  • providing reasonable access to the property;

  • informing us of known site hazards;

  • obtaining any approvals that are specifically identified as your responsibility;

  • ensuring that you have authority to approve the proposed works;

  • complying with reasonable site-access requirements; and

  • promptly informing us of any relevant changes to your circumstances or property.

You must not knowingly provide false or misleading information.

10. Property Access

You must provide reasonable and safe access to the property for:

  • site inspections;

  • delivery;

  • installation;

  • commissioning;

  • maintenance;

  • warranty work; and

  • other agreed services.

If access is unavailable or unsafe, installation or other works may need to be rescheduled. Where additional costs arise because of circumstances within your responsibility, those costs will be dealt with in accordance with the applicable quotation or contract and applicable law.

11. Installation

Installation will be carried out by appropriately qualified and licensed personnel as required by applicable law. Installation will be undertaken having regard to:

  • applicable Australian Standards;

  • relevant electrical requirements;

  • manufacturer specifications;

  • applicable laws and regulations;

  • electricity network requirements; and

  • the agreed system design.

Installation dates provided by us are estimates unless a specific date or timeframe is expressly agreed in writing.

12. Delays

We will use reasonable efforts to meet agreed or estimated timeframes.
Delays may occur due to circumstances including:

  • adverse weather;

  • product availability;

  • supply-chain issues;

  • manufacturer delays;

  • electricity network approval processes;

  • government or regulatory requirements;

  • engineering requirements;

  • site access issues;

  • unforeseen site conditions;

  • customer-requested changes; or

  • circumstances beyond our reasonable control.

Where a material delay occurs, we will communicate with you and provide an updated timeframe where reasonably possible. Nothing in this clause limits any rights you may have under the Australian Consumer Law or an applicable contract.

13. Grid Connection and Approvals

Some energy systems require approval from an electricity distributor, network operator, retailer, government body or other authority. Where agreed, SolField Energy may assist with relevant applications or connection processes. Approval is not guaranteed because final approval may depend on requirements imposed by third parties. We will communicate relevant approval requirements and material issues where reasonably practicable.

14. Solar System Performance

Solar system performance depends on factors including:

  • solar irradiation;

  • weather;

  • shading;

  • orientation and tilt;

  • system design;

  • equipment performance;

  • electricity consumption;

  • network conditions;

  • battery usage;

  • system availability; and

  • other site-specific factors.

Any savings, generation, payback period or financial return estimates provided by us are estimates only unless expressly guaranteed in writing. Actual results may differ from estimates.

15. Battery Systems

Battery performance depends on factors including:

  • battery capacity;

  • usable capacity;

  • system configuration;

  • energy consumption;

  • charging and discharge settings;

  • weather;

  • solar generation;

  • electricity tariffs;

  • network requirements;

  • battery degradation; and

  • manufacturer specifications.

Battery systems may also have manufacturer-specific operating conditions and warranty requirements. Customers should follow the manufacturer's instructions and SolField Energy's instructions for safe operation.

16. EV Charging

EV charging services may be subject to:

  • vehicle compatibility;

  • charger specifications;

  • electrical supply capacity;

  • switchboard capacity;

  • network requirements;

  • cable routes;

  • installation location;

  • applicable electrical standards; and

  • other site-specific conditions.

Any additional electrical work required outside the agreed scope will be discussed with you before proceeding where reasonably practicable.

17. Product Warranties

Products supplied by SolField Energy may be covered by manufacturer warranties. Warranty terms vary between products and manufacturers. We will provide or make available relevant warranty information where applicable. Manufacturer warranties are in addition to, and do not replace, rights you may have under the Australian Consumer Law. Where SolField Energy provides an installation or workmanship warranty, the applicable period and conditions will be specified in your quotation, contract or warranty documentation.

18. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot legally be excluded. Under the Australian Consumer Law, consumers may have rights relating to the quality, suitability and performance of goods and services. Depending on the circumstances, remedies may include repair, replacement, refund, cancellation or compensation. Our products and services will be provided in accordance with applicable consumer guarantees and other mandatory legal requirements.

19. Cooling-Off Period

Where Australian Consumer Law provides a cooling-off period for an unsolicited consumer agreement, that statutory cooling-off period will apply. For applicable unsolicited consumer agreements, consumers may have a 10-business-day cooling-off period during which they may cancel without penalty. The specific rights applying to your contract will depend on how the contract was entered into and the applicable legislation. Nothing in these Terms removes or reduces any statutory cooling-off rights.

20. Cancellation and Termination

Cancellation and termination rights are governed by the applicable quotation, contract, Australian Consumer Law and, where applicable, the New Energy Tech Consumer Code. If you wish to cancel an order or contract, please contact us as soon as possible in writing. Any cancellation or termination fees must be permitted by the applicable contract and law and, where applicable, will be reasonable and related to costs properly incurred by us. You will not be charged a cancellation fee where the law provides you with a right to cancel without penalty.

21. Refunds

Refunds will be handled in accordance with:

  • the applicable contract;

  • our Refunds Policy;

  • the Australian Consumer Law; and

  • any other applicable legal or regulatory requirements.

Where a refund is required, we will process it within a reasonable period and using an appropriate payment method. Nothing in our policies limits your statutory rights.

22. Complaints

We encourage customers to contact us as soon as possible if they have a concern about our products or services.
We will:

  • listen to your concern;

  • investigate the matter;

  • communicate with you about the progress of the complaint;

  • seek a fair and reasonable resolution; and

  • provide information about further dispute-resolution options where appropriate.

23. Privacy

Our collection and handling of personal information is governed by our Privacy Policy. Our Privacy Policy explains how we collect, use, store and disclose personal information and how you can request access to or correction of your information.

24. Intellectual Property

Unless otherwise stated, content on our website, including:

  • text;

  • photographs;

  • graphics;

  • logos;

  • designs;

  • videos;

  • trademarks; and

  • other materials

is owned by or licensed to SolField Energy or its relevant third-party owner. You must not reproduce, modify, distribute or commercially exploit our website content without appropriate permission.

25. Third-Party Websites

Our website may contain links to third-party websites. We do not control those websites and are not responsible for their content, security or privacy practices. Your use of third-party websites is subject to their own terms and policies.

26. Limitation of Liability

To the maximum extent permitted by law, SolField Energy is not responsible for loss caused by circumstances outside our reasonable control. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including rights and remedies available to consumers under the Australian Consumer Law.

27. Force Majeure

We will not be responsible for delays or failure to perform obligations to the extent caused by circumstances beyond our reasonable control. Such circumstances may include:

  • natural disasters;

  • extreme weather;

  • fire;

  • flood;

  • power outages;

  • supply-chain disruption;

  • industrial disputes;

  • government action;

  • changes to laws or regulations;

  • network restrictions;

  • cyber incidents; or

  • other events outside our reasonable control.

We will take reasonable steps to minimise the impact of such circumstances and communicate material delays where reasonably possible.

28. Changes to These Terms

We may update these Terms from time to time. The version applicable to an existing customer contract will generally be the version incorporated into that contract unless otherwise agreed or required by law. The latest website version will be published on our website.

29. Governing Law

These Terms are governed by the laws applicable in New South Wales, Australia. Any dispute will be subject to the applicable courts and tribunals of New South Wales, subject to any mandatory consumer protection or dispute-resolution rights available to you.
